Restraining Order
The Firm represented Berkshire Hathaway Specialty Insurance Company (â€œBHSIâ€ ) in a lawsuit against QBE Insurance Company (d/b/a QBE North America) and certain of BHSIâ€™s former insurance brokers and employees, who resigned from BHSI in a coordinated fashion in April 2022 and commenced work almost immediately with QBE. On May 5, 2022, the Firm obtained a temporary restraining order against defendants in the Commercial Division of the Supreme Court of the State of New York, County of New York, Index No. 652049/2022 (Borrok, J.). Thereafter, defendants removed the case to the United States District Court for the Southern District of New York, Case No. 1:22-cv-03798 (Caproni, J.), where it thereafter settled on confidential terms, and was dismissed pursuant to a Stipulation and Consent Order entered July 26, 2022.

Corporate Law
Multiple groups of claimants filed motions to dismiss the bankruptcy proceeding, alleging it was not filed in good faith. On February 25, 2022, after a five-day evidentiary hearing, the Bankruptcy Court denied the motions. The Court agreed with LTL that the Debtorâ€™s formation in compliance with long-standing Texas corporate law, as well as its subsequent bankruptcy, were a good-faith effort on the part of management to efficiently and equitably resolve all of the claims. At trial, LTL demonstrated that litigating talc cases one or a few at a time would take a minimum of decades and likely lead to erratic outcomes such that some claimants might receive large verdicts while others might receive nothing. LTL also showed that even though its predecessor Johnson & Johnson subsidiary was solvent at the time of the reorganization, its talc liability and the related legal expenses constituted financial distress and were a significant threat to solvency.

Mr. Hein is an experienced litigator of a wide range of complex commercial disputes including securities and financial services litigation, business disputes involving contracts, torts, fraud, and other common law and statutory claims, and related appellate matters. Mr. Hein earned his J.D. from the University of Pennsylvania Law School and his Certificate in Business and Public Policy from Wharton School of Business in 2009. He received his A.B. from Harvard College in 2006. A native New Yorker, Mr. Hein is a graduate of Regis High School in Manhattan.
Antitrust

Personal Injury
The Firm recently opposed a motion filed by the creditors, comprised primarily of personal injury claimants, in the District Court that sought to remove a critical adversary proceeding from the Bankruptcy Court. The adversary proceeding sought to extend the Bankruptcy Codeâ€™s automatic stay of claims against LTL to also enjoin prosecution of claims against LTLâ€™s parent (Johnson & Johnson), affiliates, suppliers and other key co-defendants. The movants argued to the District Court that the issues raised in the adversary proceeding were not â€œcoreâ€ bankruptcy proceedings and, thus, should be addressed first by the District Court rather than the Bankruptcy Court.
Medical Malpractice
The Firm represents MLMIC Insurance Company (â€œMLMICâ€ ), one of the largest New York medical malpractice insurers, and a member of the Berkshire Hathaway Group of Insurance Companies. In 2018, MLMIC went through a demutualization process, and became a stock company, and its stock was simultaneously purchased by a subsidiary of Berkshire Hathaway in a pre-arranged sale, for approximately $2.5 billion dollars. Thereafter, certain former policyholders of MLMIC sued it for breach of fiduciary duty and misrepresentation, contending that had MLMIC advised them of a purported secret â€œplanâ€ to sell itself to Berkshire Hathaway, these former policyholders would not have left MLMIC, and would have received more of the demutualization proceed payments made to MLMICâ€™s former policyholders. On the eve of trial, the Firm prevailed on MLMICâ€™s appeal of the trial courtâ€™s denial of MLMICâ€™s motion to dismiss the Complaint. The Appellate Division, Second Department, dismissed the Complaint, holding that even if everything plaintiffs alleged were true, plaintiffs have no legitimate claim against MLMIC as a matter of law.

Bankruptcy
With the Firm serving as its co-counsel, LTL Management LLC, a subsidiary of Johnson & Johnson, recently prevailed over motions to dismiss LTLâ€™s Chapter 11 bankruptcy case and, at the same time, successfully extended a preliminary injunction staying lawsuits against its corporate affiliates and retailers. LTL filed bankruptcy to resolve talc-related liability.
